Foundations and practices of corporate governance

Corporate governance has been built around several theories that describe the consequences of the opportunism of managers arising from the conflicting relationships they have with shareholders. In order to alleviate this problem and to align the interests of managers with those of shareholders, corporate governance proposes several governance mechanisms that can be internal or external.
