This Supplier Code of Conduct is an agreement between Adlibris AB, Adlibris.com AS, Adlibris OY, Campusbokhandeln i Sverige AB and Pocket Shop AB, hereinafter referred to as “Adlibris”, and manufacturers/suppliers/consultants/service providers, hereinafter referred to as the “Supplier”. The Supplier’s employees, subcontractors, consultants, interns, student staff and temporary employees are referred to in this policy as employees.
Adlibris is aware that our operations affect social, economic and environmental issues. Adlibris is committed to being a responsible employer and a good corporate citizen. The Adlibris Supplier Code of Conduct, hereinafter referred to as the Code, is the foundation of our work to ensure a sustainable supply chain.
All operations within Adlibris must be conducted with respect for and consideration of human rights, labour rights, health and safety, business ethics and the environment. The Code is an integrated part of Adlibris’ operations and is endorsed by top management. Adlibris expects all suppliers of products and services to act in a way that is consistent with this Code. For all purchases of products, services and/or raw materials, suppliers must take reasonable steps to ensure that third parties are aware of the Code and act responsibly in line with its guidelines.
The Code is based on the UN Global Compact’s ten principles and follows the UN Universal Declaration of Human Rights, the International Covenants on Civil and Political Rights and on Economic, Social and Cultural Rights, as well as the ILO Declaration on Fundamental Principles and Rights at Work, the Rio Declaration on Environment and Development, the UN Convention against Corruption, and the requirements of the Swedish Regions’ Secretariat for Sustainable Procurement. The Code also follows the principles of the OECD Guidelines for Multinational Enterprises and UNICEF’s Children’s Rights and Business Principles. It also requires the Supplier to comply with local legislation. In the event of a conflict between the Code and local law, the higher standard shall apply.
Suppliers must work towards full compliance with the Code. The Supplier shall also sign the Code as a commitment if requested by Adlibris. The Supplier shall participate in effective follow-up of compliance with the Code throughout the supply chain.
All internationally recognised human rights, as expressed in the UN Universal Declaration of Human Rights, the International Covenants on Civil and Political Rights and on Economic, Social and Cultural Rights, and the ILO Declaration on Fundamental Principles and Rights at Work, shall be respected.
Adlibris does not accept any form of forced labour or slave labour and does not accept the use of prison labour. Employment shall be freely chosen and the employee shall be free to leave the premises after the end of the work shift. No employee can be forced to continue their employment longer than they themselves wish.
Security guards may only be present for normal security reasons. Employees must not be required to lodge “deposits” or hand over their identity documents to the employer. Payment of wages to employees must not be withheld. (ILO Conventions 29 and 105 and the Modern Slavery Act 2015)
Adlibris does not allow child labour in any form. Unless local law sets a higher standard, no person younger than 15 years may be employed.
Employees under 18 years of age (young workers) must not perform work that could endanger their health or safety, including night shifts and overtime. For minors, management is responsible for providing age-appropriate working conditions, working hours and wages in accordance with applicable local law. In the absence of local legislation, the wages of student employees, interns and apprentices shall be at least the same as for other newly hired employees performing equivalent or similar work.
If a child is found to be working at a site where Adlibris products or components are produced, the Supplier must immediately define and implement a remediation plan to ensure that the child is removed from work in a safe manner and given support to continue school/education until the child is no longer a minor.
Wages shall be paid regularly and on time and shall reflect the employee’s experience, qualifications and performance. Wages and benefits for employees shall at least comply with national laws or industry standards, whichever is higher. Wages shall always be sufficient to meet basic needs and provide some discretionary income. For each pay period, employees shall receive an appropriate and understandable pay slip containing sufficient information to verify correct compensation for work performed. Wage deductions as a disciplinary measure are not allowed.
Regular working hours, excluding overtime, shall be set out in a contract and must not exceed 48 hours per week. All overtime must be voluntary and must not be used to replace
regular employment. Overtime shall always be compensated at a minimum of 125% of the regular wage.
The total number of hours worked in a seven-day period must not exceed 60 hours, except in exceptional cases where this is permitted by law and collective agreements, and where appropriate safeguards are in place. Employees shall be given at least one day off in every seven-day period or, if permitted by law, two days off in each 14-day period.
Adlibris does not accept any form of physical or verbal punishment or harassment. Disciplinary policies and procedures to support these requirements shall be clearly defined and communicated to employees
No employee may be treated unfairly on the basis of gender, age, political affiliation, religion, ethnic or national origin, caste, sexual orientation, pregnancy, membership in workers’ organisations including trade unions, or other personal characteristics, disabilities or any other grounds for discrimination.
All employees have the right to form or join workers’ organisations, including trade unions of their own choosing, and to bargain collectively. Adlibris does not accept disciplinary or discriminatory measures by the employer against employees who choose to peacefully and lawfully organise or join an association. (ILO Conventions 87, 98 and 135)
If the right to freedom of association or collective bargaining is restricted under applicable law, the Supplier shall still respect workers’ rights to freely organise and shall facilitate alternative, lawful forms of worker representation and dialogue with management.
The Supplier shall ensure that employment relationships are lawful, recognised and transparent, and that workers enjoy the rights and protection provided by applicable labour law and collective agreements. The Supplier shall not circumvent these obligations through, for example, false self-employment, labour-only contracting, excessive use of fixed-term contracts, unlawful use of agency workers or other arrangements aimed at undermining workers’ rights.
The Supplier shall provide and maintain a safe working environment and integrate sound health and safety management practices into its operations in line with local laws, recognised management systems such as ISO 45001 and ILO guidelines on occupational safety and health. Where hazards cannot be adequately controlled, employees shall be provided, at no cost, with suitable and well-maintained personal protective equipment and training materials about the risks associated with these hazards.
Employees shall have the right to refuse unsafe work and to report unhealthy working conditions. Reasonable measures must also be taken to reassign pregnant employees and breastfeeding mothers who work under hazardous conditions to work in safe conditions.
The Supplier shall identify and assess potential emergency situations. For each situation, the Supplier shall develop and implement preparedness plans and measures that minimise harm to life, the environment and property. Emergency drills must be carried out at least once a year or as required by local law, whichever requirement is stricter. Emergency plans should also include appropriate fire detection and firefighting equipment, free and unobstructed evacuation routes, suitable escape options, contact information for emergency services and recovery plans.
Workplace accidents, illnesses and near misses shall be monitored. The Supplier shall have a system that allows employees to report health and safety incidents and near misses, as well as a system to investigate, track and manage such reports. The Supplier shall implement corrective action plans to reduce risks, provide necessary medical treatment and facilitate employees’ return to work. First-aid supplies and medical assistance must be available for every shift in the event of an accident.
The Supplier’s premises shall be equipped with basic human facilities such as clean drinking water, sanitary toilets and adequate lighting, ventilation and heating. Employee dormitories provided by the Supplier or an employment agency shall be kept clean and safe and shall have appropriate emergency exits, hot water for bathing or showering, adequate lighting, heating and ventilation, individually secured and lockable storage space for personal and valuable belongings, and reasonable personal space along with reasonable entry and exit rules.
Suppliers shall provide employees with appropriate information on workplace health and safety and training in the employee’s language or in a language the employee can understand, covering all identified workplace risks for employees: mechanical, electrical, chemical, fire-related and physical risks. Health- and safety-related information shall be clearly posted at the facility or placed in a location that is identifiable and accessible to employees. Training shall be provided to all employees before work begins and on a regular basis thereafter.
Employees shall be encouraged to raise any health and safety concerns without fear of retaliation, including but not limited to mechanical, electrical, chemical, fire-related and physical risks.
Adlibris values systematic environmental management based on established standards for the relevant industry, such as ISO 14000. The Supplier shall take responsibility for its impact on the environment and health.
All required environmental permits (such as emission monitoring) and approvals and registrations shall be obtained, maintained and kept up to date, and their operational and reporting requirements shall be followed. Required certificates shall be submitted to Adlibris within 5 days upon request
The Supplier shall actively work to reduce its climate impact and contribute to achieving national and international climate goals.
Adlibris encourages suppliers to commit to setting science-based climate targets through the Science Based Targets initiative (SBTi) or an equivalent scheme.
The Supplier shall reduce the use of virgin raw materials by continuously optimising resource use, increasing recycling and reuse of materials, minimising waste, and offering solutions in line with a circular economy.
No raw materials shall be used from species listed in CITES or from species that are critically endangered, endangered or vulnerable on the IUCN Red List of Threatened Species.
The Supplier shall comply with all applicable laws and regulations on hazardous substances, including but not limited to REACH, RoHS and the EU Regulation on Persistent Organic Pollutants (POPs Regulation, (EU) 2019/1021). The Supplier shall inform Adlibris about the presence and concentration of Substances of Very High Concern (SVHC) in delivered products, in accordance with Article 33 of the REACH Regulation.
Where applicable, substitution and/or implementation of alternative processes shall be carried out to reduce risks to health and the environment and to improve resource efficiency.
Suppliers shall use a systematic approach to identify, manage, reduce and dispose of or recycle all non-hazardous waste in a way that protects the health of workers, people in surrounding communities and the environment.
Emissions that pose a risk to health and the environment shall be reduced or eliminated
Emissions to air of volatile organic compounds, aerosols, corrosive substances, particulates, ozone-depleting chemicals and combustion by-products generated from operations shall be characterised, monitored, controlled and treated as required before release.
Strategies for efficient water use shall be promoted where applicable. All wastewater shall be characterised, monitored, controlled and treated as necessary before discharge or disposal
The Supplier shall strive to minimise its environmental impact by improving energy efficiency and minimising its energy consumption.
The Supplier shall respect all peoples’ right to self-determination and to freely dispose of their natural wealth and resources. Illegal eviction or takeover of land, forests or water must not occur.
The Supplier shall respect indigenous peoples’ rights to lands, territories and natural resources which they traditionally own, occupy or otherwise use or acquire, including the right to free, prior and informed consent.
The right to a safe, clean, healthy and sustainable environment shall be respected as an integral part of the rights to life, health, food, water and sanitation
Bribes of any kind are not accepted. Suppliers to Adlibris must not offer or accept bribes or other means of obtaining improper or inappropriate advantages for anyone.
Suppliers must comply with applicable anti-corruption laws and must not offer anything of value, directly or indirectly, to public officials to obtain or retain business. Suppliers must not make illegal payments to public officials themselves or through third parties.
The Supplier shall conduct its business in accordance with applicable competition laws and must not engage in or enable anti-competitive practices, such as cartels, price-fixing or bid-rigging, market sharing or other behaviour that unlawfully restricts competition or constitutes abuse of a dominant position.
The Supplier shall comply with applicable tax and fee regulations in the countries where it operates and shall pay taxes and fees in the right place and on time. The Supplier must not use aggressive tax planning or arrangements that lack real business substance and are intended to unduly avoid tax.
All business transactions shall be carried out in a transparent manner and properly reflected in the Supplier’s books and records. Information about the Supplier’s work, health and safety, environmental practices, business activities, structure, financial situation and performance shall be disclosed in accordance with applicable regulations and industry practice. Falsification of documents or misrepresentation of conditions or practices in the supply chain is unacceptable.
The Supplier shall have an independent and anonymous whistleblowing system available to all employees and subcontractors, and shall ensure that confidentiality, anonymity and protection for whistleblowers among suppliers and employees are maintained, unless prohibited by law. Suppliers should have a communicated process enabling staff to raise any concerns without fear of retaliation.
Definition of a whistleblower: Any person who provides information about improper conduct by an employee or officer of a company, or by a public official or public body.
Responsible sourcing of minerals shall be based on a policy and due diligence regarding the origin and traceability of the mining and procurement of tantalum, tin, tungsten and gold used in manufactured products, and shall reasonably ensure that they are sourced in a way that is consistent with the OECD Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas, or an equivalent and recognised due diligence framework.
The Supplier shall respect animal welfare and ensure that animals used in the Supplier’s operations are treated in accordance with applicable legislation and international guidelines such as the Five Freedoms framework.
Adlibris does not accept wool from sheep that have been subjected to mulesing.
Suppliers commit to respecting reasonable expectations of privacy for all those they do business with, including suppliers, customers, consumers and employees. Suppliers shall comply with data protection and information security laws (e.g. GDPR) and statutory requirements when personal data is collected, stored, processed, transferred and shared.
The Supplier must communicate the contents of this Code of Conduct to all employees and subcontractors involved in the production of Adlibris products. The Supplier shall ensure that the requirements are implemented and, upon request, require a signed document from the subcontractor confirming and accepting the requirements.
The Supplier is obliged to inform Adlibris where each order is produced. Adlibris reserves the right at any time to carry out announced or unannounced visits to all production sites, including subcontractors, for goods intended for delivery to Adlibris. Adlibris also reserves the right to have an independent third party carry out inspections to ensure compliance with the Code.
If Adlibris finds that a Supplier does not comply with the Code and the agreed corrective action plan is not implemented within the agreed time, Adlibris will consider terminating the business relationship with that Supplier.
The Supplier shall map and document its entire supply chain relevant to Adlibris products and services, as needed for Adlibris to fulfil its obligations regarding transparency and due diligence reporting. Upon request, the Supplier shall be able to report the name, address and production site of its tier 1 subcontractors and, where possible, tiers 2 and 3. The Supplier shall also inform Adlibris without delay of significant changes in the supply chain.
The Supplier is expected to work proactively to increase transparency and traceability in its supply chain and to cooperate with Adlibris to identify and manage risks and areas for improvement.
The Supplier shall have processes in place to identify, prevent, mitigate and account for actual and potential adverse impacts on human rights, the environment and ethics throughout the supply chain. Upon request, the Supplier shall be able to report these processes and their results to Adlibris.
The Supplier shall ensure that all employees, subcontractors and relevant business partners involved in the production of Adlibris products and services receive regular training on the content of the Code and on relevant issues related to human rights, working conditions, the environment and business ethics. For employees and managers in particularly exposed or relevant functions, training shall also include in-depth coverage of business ethics, including anti-corruption, competition law and responsible business conduct.
The Supplier shall document the training activities carried out and, upon request, be able to report them to Adlibris.
The Supplier shall participate in and cooperate with Adlibris in following up on the commitments in the Code. Follow-up may be carried out through various methods such as dialogue, self-reporting, transparency in supply chains and audits.
The Supplier shall, within two weeks of Adlibris’ request, participate in a dialogue on how the Supplier fulfils its commitments and its due diligence process.
The Supplier shall, within four weeks of Adlibris’ written request, describe its due diligence process.
The Supplier shall, within four weeks of Adlibris’ written request, report which subcontractors the Supplier uses to fulfil the contract.
The Supplier shall, within four weeks of Adlibris’ written request, enable Adlibris, itself or through a representative, to carry out audits in the Supplier’s own operations. The Supplier shall also enable Adlibris, itself or through a representative, to perform audits in any subcontractors’ operations. The Supplier and any subcontractors shall, in connection with audits, provide the information requested by Adlibris.
The Supplier shall bear the cost of any re-audits required to verify that the Supplier has remedied non-conformities.
The Supplier shall remedy non-conformities with the commitments in the Code. The focus shall be on improvements in the Supplier’s own operations and in the supply chains.
In the event of a deviation from the commitments in the Code, the Supplier shall prepare a time-bound corrective action plan that must be approved by Adlibris. The Supplier shall prepare the action plan no later than two weeks after Adlibris was informed of the deviation. The action plan shall be proportionate to the seriousness of the non-conformities and shall describe how the non-conformities will be remedied within the timeframe, and how remediation will be provided to the rights-holders whose rights have not been respected.
If there is or has been a serious non-conformity in the Supplier’s operations or in the supply chains, the Supplier shall report this to Adlibris without delay and cooperate to remedy the non-conformities.
Serious non-conformities include forced labour, child labour, working conditions that endanger life, serious environmental damage, large-scale corruption and attacks on environmental and human rights defenders.
